These Terms and Conditions govern the use of this website and the provision of services by IBD Consultancy (“we”, “us”, “our”). By accessing this website or engaging our services, you agree to be bound by these Terms and Conditions.

We operate as an independent, design-only IT and AV consultancy supporting commercial buildings, smart environments and data centres.

3. Scope of Services

We provide professional consultancy services including, but not limited to:

IT and AV design consultancy
Active and passive network design
Smart building design
Audio visual design
Wi-Fi design and surveys
Security design
Technical IT project management
BIM and CAD design (2D and 3D)

All services are provided on a design-only basis. We do not install, supply, sell or resell equipment.

4. Design-Only Consultancy

We act solely as an independent design consultant. Any references to products, manufacturers or systems are provided for design intent and performance purposes only and do not constitute endorsement, supply or procurement services.

Responsibility for installation, procurement, commissioning and maintenance remains with third-party contractors and suppliers unless expressly agreed otherwise in writing.

5. Fees and Payment

Fees will be agreed in writing prior to commencement of services, either through a formal proposal, appointment letter or contract.

Unless otherwise stated:

Invoices are payable within 14 days of issue
Late payments may result in suspension of services

We reserve the right to charge statutory interest on overdue amounts

6. Client Responsibilities

Clients are responsible for:

Providing accurate and timely information
Appointing competent contractors and suppliers
Ensuring designs are reviewed and coordinated with the wider project team
Obtaining all necessary approvals, consents and permissions

We are not responsible for delays or issues arising from incomplete or inaccurate information supplied by others.

7. Intellectual Property

All designs, drawings, reports and documentation produced by us remain our intellectual property unless otherwise agreed in writing.

Upon full payment, the client is granted a non-exclusive licence to use the deliverables for the specific project for which they were produced.

8. Liability

We will exercise reasonable skill and care in the provision of our services.

To the maximum extent permitted by law:

We are not liable for indirect or consequential losses
Our liability is limited to the value of the fees paid for the relevant services
We are not responsible for workmanship, materials or installation carried out by others

Nothing in these Terms limits liability for death or personal injury caused by negligence.

9. Confidentiality

All confidential information shared between parties shall be kept confidential and not disclosed to third parties without consent, except where required by law.

10. Termination

Either party may terminate services in writing in accordance with agreed contractual terms. Fees for work completed up to the termination date remain payable.

11. Governing Law

These Terms and Conditions are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
